Favour Förderverein e.V.

§ 1 Name and Registered Office

The association bears the name "Favor Förderverein eV". Registered at the Stuttgart District Court. The association is based in Bad Friedrichshall.

​

§ 2 financial year

The fiscal year is the calendar year.

​

§ 3 Purpose of the association

Meaning of the section "tax-privileged purposes" of the tax code.

The purpose of the association is

​​

  • promoting development cooperation

  • the promotion of nature and environmental protection

  • the promotion of youth welfare, upbringing, popular and vocational training and student aid

  • the promotion of international attitudes, tolerance in all areas of culture and the idea of international understanding

  • the promotion of civic engagement for the benefit of charitable purposes

2) The purpose of the statutes is realized through, among others

  • Support for needy children, adolescents, adults and families in the basic needs of life, in health and medical care, in general and vocational education.

  • securing the basis of life air, water and soil as well as advocating biodiversity and promoting the use of renewable energies. The aim is to create and / or maintain a life-friendly environment for people, animals and plants and to promote education in this area.

  • the implementation of appropriate information and educational work.

  • Support and advice for immigrants (migrants and refugees), for example on integration issues.

  • promoting encounters and cultural exchange between Germans and foreigners.

§ 4 selfless activity

The association is selflessly active; it does not primarily pursue its own economic purposes.

​

§ 5 Use of Funds

The association's funds may only be used for statutory purposes. The members do not receive payments from the association.

​

§ 6 Prohibition of preferential treatment

No person may be favored by expenses that are alien to the purpose of the corporation or by disproportionately high remuneration.

​

§ 7 Acquisition of Membership

Association members can be natural persons or legal persons.

​

Membership is obtained through a written application for membership or through an application for membership with the help of  electronic means (online form on the association's website). The board of directors decides on the approval with a simple majority.

​

The board decides on the application for membership.

​

Against the rejection, which does not require a justification, the applicant is entitled to appeal to the general assembly, which then makes a final decision.

​

§ 8 Termination of Membership

Membership ends upon resignation, exclusion, death or dissolution of the legal entity. This takes the form of a written declaration / online termination / informal termination by email or post to the board of directors.

An exclusion can only take place for an important reason. Important reasons are, in particular, behavior that damages the association's goals, the violation of statutory obligations or payment arrears of at least one year. No membership fees are refunded.

§ 9 membership fees and donations

Contributions are made from the members. The general meeting determines the amount of the contributions and their due dates. 

Anyone can transfer donations to the association that must be used for the purposes of the association. Contributions and donation payments are received via the association account. Donation payments can also be made in cash.

§ 10 organs of the association

The bodies of the Association are the General Meeting and the Executive Board.

​

§ 11 General Assembly

The general assembly is the highest organ of the association. Their tasks include, in particular, the election and deselection of the board of directors, discharge of the board of directors, receipt of reports from the board of directors, election of the cash auditors, determination of contributions and their due dates, resolution on changes to the statutes, resolution on the dissolution of the association, decision on Admission and exclusion of members in cases of appointment as well as other tasks, insofar as these result from the statutes or according to the law.

An ordinary general meeting takes place in the first quarter of each financial year.

​

The board of directors is obliged to call an extraordinary general meeting if at least one third of the members request this in writing, stating reasons.

The general meeting is called by the board of directors in writing with one month's notice stating the agenda. The period begins on the day following the sending of the letter of invitation. The letter of invitation is deemed to have been received by the members if it was sent to the last address given to the association. The invitation can also be sent by e-mail if an e-mail address is known for the member.

The agenda must be supplemented if a member requests this in writing no later than one week before the scheduled date. The addition is to be announced at the beginning of the meeting.

Motions to deselect the board of directors, to change the statutes and to dissolve the association, which the members have not already received with the invitation to the general meeting, can only be decided at the next general meeting.

The general assembly has a quorum regardless of the number of members present.

The general meeting is chaired by a board member.

A secretary is to be elected at the beginning of the general meeting.

​

Each member has one vote. The right to vote can only be exercised in person or for a member upon presentation of a written power of attorney.

When voting, the simple majority of the votes cast decides.

Changes to the statutes and the dissolution of the association can only be decided with a majority of 2/3 of the members present.

Abstentions and invalid votes are disregarded.

Minutes are to be drawn up about the resolutions of the general assembly, which are to be signed by the chairman and the secretary.

§ 11a remuneration for association activity

1. The association pursues its work primarily through volunteer workers. However, he can also employ full-time employees part-time or full-time for these tasks.

2. The executive board is authorized to commission activities for the association against payment of an appropriate remuneration or expense allowance from third parties. The budgetary position of the association is decisive.

3. In addition, the members and employees of the association have a claim for reimbursement of expenses in accordance with $ 670 BGB for such expenses that they have incurred through their work for the association, including in particular travel expenses, travel expenses, telephone, postage, office rent, consumables, etc.

§12 Board of Directors

The board consists of the chairman, the deputy chairman, who is also the secretary and the treasurer.

Each member of the board of directors - regardless of their function - is entitled to represent the association externally, in particular in and out of court (§ 26 BGB).

The board remains in office until a new board is elected.

Upon written request, the board of directors must transparently explain individual decisions to each member.

§13 Cash audit

The general assembly elects a cash auditor. This / r may not be a member of the board of directors. Re-election is permitted.

 

§14 Dissolution of the Association

If the association is dissolved or if tax-privileged purposes no longer apply, the assets of the

Association to a corporation under public law or a tax-privileged corporation for the purpose of promoting charitable purposes.
